TERMS OF SERVICE

Welcome to Tronic! These Terms of Service ("Terms") govern your access to and use of the Tronic platform, including our website, mobile applications, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.
2. Eligibility
You must be at least 13 years old to use the Service. If you are under 18 years old (or the age of majority in your jurisdiction), you represent that you have obtained permission from your parent or legal guardian to use the Service. We reserve the right to request proof of age at any time.
2A. Analytics & Tracking
What We Track: To improve our Service and understand how users interact with our platform, we collect analytics data including:
- Anonymous user identifier (Tronic ID)
- Mission interactions and completion data
- Platform usage patterns and feature engagement
- Device type, browser type, and technical information
- Pages visited and time spent on the Service Analytics Services: We use third-party analytics services (including PostHog) to process this data. These services receive ONLY your anonymous Tronic ID and usage data. We do NOT share your email address, name, phone number, or other personally identifiable information with analytics providers. Your Choices: You have full control over analytics tracking:
- Opt-Out: You can opt out of analytics tracking at any time through our cookie banner or account settings
- Do Not Track: We respect browser "Do Not Track" signals
- Cookie Controls: You can manage cookies through your browser settings Important Statement: We do NOT sell your data to third parties. Analytics data is used solely to improve the Service and understand user behavior.
3. Account Registration
To access certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Notify us immediately of any unauthorized use of your account
- Be responsible for all activities that occur under your account We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.
4. User Conduct
You agree not to:
- Violate any applicable laws or regulations
- Infringe upon the intellectual property rights of others
- Upload or transmit viruses, malware, or other malicious code
- Attempt to gain unauthorized access to the Service or other users' accounts
- Harass, abuse, or harm other users
- Use the Service for any illegal or unauthorized purpose
- Engage in any activity that interferes with or disrupts the Service
- Create multiple accounts or use automated tools to manipulate the Service
5. NFTs and Digital Assets
NFT Ownership: Certain rewards on our platform may be provided as Non-Fungible Tokens (NFTs) on blockchain networks (including Solana and Polygon). When you receive an NFT:
- You own the NFT as recorded on the blockchain
- Ownership is subject to the smart contract terms governing that NFT
- We do not control the blockchain and cannot reverse transactions Blockchain Risks: You acknowledge that:
- Blockchain transactions are irreversible
- NFT values can fluctuate and may become worthless
- We are not responsible for blockchain network failures or issues
- Gas fees and transaction costs are your responsibility
- You must maintain custody of your wallet's private keys Intellectual Property: Owning an NFT does not grant you copyright or other intellectual property rights to the underlying content unless explicitly stated. Your use of NFT-associated content may be limited by the creator's license terms.
5A. Rewards, Points & Virtual Items
Types of Rewards: Tronic offers various reward types, including:
- Points: Virtual currency earned through mission completion and platform engagement
- Digital Badges: Visual achievements displayed on your profile
- Physical Merchandise: Tangible items redeemed through the platform
- NFTs and Blockchain Tokens: Digital assets on blockchain networks Reward Terms:
- No Cash Value: Unless explicitly stated, rewards have no monetary value and cannot be exchanged for cash
- Personal Use Only: Rewards are for personal use and may not be sold, transferred, or traded (except blockchain-based tokens which may be transferable per smart contract terms)
- Forfeiture: We reserve the right to forfeit rewards obtained through fraud, abuse, or violation of these Terms
- Expiration: Points expire after 12 months of account inactivity
- Modification: We reserve the right to modify, suspend, or discontinue any reward program with 30 days' notice Third-Party Reward Fulfillment: Some rewards are fulfilled by third-party brands or partners. For these rewards:
- The brand/partner is solely responsible for fulfillment
- We are not liable for delays, defects, or non-delivery by third parties
- Disputes regarding third-party rewards must be resolved directly with the brand/partner Tax Responsibility: You are solely responsible for any tax obligations arising from rewards received through the Service, including reporting requirements for prizes valued at $600 or more (U.S. residents).
6. Mission Participation
Tronic offers various missions, challenges, and activities ("Missions") that users can complete to earn rewards. By participating in Missions:
- You agree to follow all mission-specific rules and requirements
- You acknowledge that mission availability, rewards, and requirements may change
- You understand that mission completion is subject to verification
- You agree not to use fraudulent means to complete missions We reserve the right to disqualify users who violate mission rules or engage in fraudulent activity.
7. Wallet Connectivity
To receive NFTs and blockchain-based rewards, you may connect a third-party cryptocurrency wallet to the Service. You acknowledge that:
- We do not control your wallet or its private keys
- You are solely responsible for maintaining wallet security
- We are not liable for any loss of funds or assets from your wallet
- Wallet connectivity is provided "as is" without warranties
8. Fees and Payments
Service Fees: Access to basic Service features is currently free. We reserve the right to introduce fees for premium features with advance notice. Blockchain Transaction Fees: You are responsible for all blockchain transaction fees (gas fees) required to:
- Mint NFTs
- Transfer digital assets
- Interact with smart contracts Payment Processing: For purchases made through the Service, we use third-party payment processors (including Stripe). You agree to comply with their terms of service.
9. Intellectual Property
Our IP: All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, are the exclusive property of Tronic or our licensors and are protected by copyright, trademark, and other intellectual property laws. Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes, subject to these Terms. Restrictions: You may not:
- Copy, modify, or create derivative works of the Service
- Reverse engineer, decompile, or disassemble any aspect of the Service
- Remove or alter any copyright, trademark, or proprietary notices
- Use the Service for commercial purposes without our written consent
10. Third-Party Links and Services
The Service may contain links to third-party websites, applications, or services that are not owned or controlled by Tronic. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services. You acknowledge and agree that we shall not be liable for any damage or loss caused by your use of any third-party content or services.
10A. Branded Missions & Data Sharing with Brands
Sponsored Content Disclosure: Some missions on our platform are created by or sponsored by third-party brands ("Branded Missions"). All Branded Missions will be clearly labeled as "Sponsored by [Brand Name]" to comply with Federal Trade Commission (FTC) advertising disclosure requirements. Brand Dashboard Access: By participating in a Branded Mission, you acknowledge and agree that the sponsoring brand will have access to certain information about you through a secure dashboard we provide. Specifically, the brand can see: What Brands CAN See:
- Your email address
- Your name (if provided in your profile)
- Your mission completion status and timestamp
- Any content you submit as part of the mission (photos, survey responses, etc.)
- Rewards you claim from their missions What Brands CANNOT See:
- Your activity in other brands' missions
- Your full platform activity history across all missions
- Your password or login credentials
- Your private messages or account settings
- Your payment information Purpose of Data Sharing: Brands access this information to:
- Fulfill rewards and prizes you've earned
- Contact you regarding the mission or rewards
- Analyze mission performance and user engagement
- Comply with legal obligations (e.g., tax reporting for prizes over $600) Independent Data Controller: Each brand is an independent data controller responsible for their own data practices. Once a brand accesses your information through the dashboard:
- The brand's privacy policy governs their use of your data
- You should review the brand's privacy policy before participating in their missions
- Brands are responsible for honoring your data rights under applicable laws (GDPR, CCPA, etc.)
- Brands must use your data only for mission-related purposes Voluntary Participation: Participation in Branded Missions is entirely voluntary. You are free to choose which missions to participate in. Declining to participate in Branded Missions does not affect your access to non-branded missions or other platform features. Your Acknowledgment: By participating in a Branded Mission, you explicitly acknowledge and agree that:
- The sponsoring brand will see your email address and mission activity
- The brand may contact you about the mission, rewards, or related opportunities
- The brand's privacy policy applies to their use of your data
- You have voluntarily chosen to share this information by participating
- We are not responsible for the brand's use of your data once shared Brand Responsibilities: Brands with dashboard access must:
- Comply with all applicable privacy and data protection laws
- Use your data only for legitimate mission-related purposes
- Maintain appropriate security measures to protect your data
- Honor your opt-out requests for marketing communications
- Respect your data rights (access, deletion, correction) If you have concerns about a brand's use of your data, you should contact the brand directly or contact us at privacy@tronic.app.
11. Termination
By You: You may terminate your account at any time by contacting us at privacy@tronic.app. By Us: We reserve the right to suspend or terminate your account at any time, with or without notice, for:
- Violation of these Terms
- Fraudulent or illegal activity
- Abuse of the Service or other users
- Any other reason at our sole discretion Effect of Termination: Upon termination:
- Your access to the Service will be revoked
- Your account data will be deleted in accordance with our Privacy Policy (within 30 days)
- You will forfeit any unredeemed points or non-blockchain rewards
- Blockchain-based assets (NFTs) in your wallet remain under your control
12. DMCA and Copyright Infringement
We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA). If you believe that content on the Service infringes your copyright, please contact our designated Copyright Agent at: Email: dmca@tronic.app
Subject: DMCA Takedown Request Your notice must include:
- Identification of the copyrighted work claimed to be infringed
- Identification of the allegedly infringing material
- Your contact information (address, phone, email)
- A statement of good faith belief that the use is not authorized
- A statement that the information is accurate and you are authorized to act
- Your physical or electronic signature We will respond to valid DMCA notices in accordance with the law and may terminate repeat infringers.
12A. User-Generated Content
Content You Submit: Tronic allows users to submit content including photos, videos, text, survey responses, and other materials ("User Content") as part of mission participation and platform engagement. License to Tronic: By submitting User Content to the Service, you grant Tronic a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to:
- Use, reproduce, modify, adapt, publish, and display your User Content
- Create derivative works from your User Content
- Distribute and publicly perform your User Content
- Use your User Content for marketing, promotional, and commercial purposes This license continues even after you delete your account, except that we will cease using your User Content in new marketing materials after account deletion. License to Brands: When you submit User Content as part of a Branded Mission, you also grant the sponsoring brand a similar license to use your User Content for purposes related to the mission, including marketing and promotional activities. Your Representations: By submitting User Content, you represent and warrant that:
- You own all rights to the User Content or have obtained all necessary permissions
- Your User Content does not infringe any third-party intellectual property rights
- Your User Content does not violate any applicable laws
- You have obtained consent from any individuals featured in your User Content Prohibited Content: You may not submit User Content that is:
- Illegal, obscene, defamatory, or hateful
- Infringing on intellectual property rights
- Threatening, harassing, or abusive
- Containing malware or malicious code
- Sexually explicit or pornographic
- Promoting illegal activities or violence Moderation Rights: We reserve the right to:
- Review, monitor, and moderate all User Content
- Remove User Content that violates these Terms
- Refuse to publish User Content for any reason
- Suspend or terminate accounts that repeatedly violate content policies No Obligation: We have no obligation to monitor User Content, but we reserve the right to do so. We are not responsible for User Content submitted by users and do not endorse any User Content.
13. Disclaimers
AS IS: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. No Guarantees: We do not warrant that:
- The Service will be uninterrupted, secure, or error-free
- Any defects will be corrected
- The Service is free of viruses or harmful components
- The results obtained from using the Service will be accurate or reliable Blockchain Disclaimer: We are not responsible for:
- Blockchain network failures, congestion, or errors
- Loss of cryptocurrency or NFTs due to wallet mismanagement
- Smart contract bugs or vulnerabilities
- Fluctuations in cryptocurrency or NFT values
13A. Third-Party Services & Integrations
Services We Use: To provide the Service, we integrate with various third-party services and vendors:
- Analytics Services: We use analytics providers (including PostHog) to understand platform usage and improve user experience
- Authentication Services: Identity verification and account security
- Payment Processors: Payment processing for purchases (including Stripe)
- Cloud Infrastructure: Data storage and hosting services
- Email Delivery Services: Transactional email notifications
- Notification Services: Push notifications and SMS (if enabled) Data Sharing Limits: We share data with third-party services only as necessary to provide the Service:
- Analytics Provider: Receives ONLY your anonymous Tronic ID (not your email, name, or phone)
- Authentication Provider: Receives your email address and encrypted password for login purposes
- Payment Processor: Receives payment information and billing address ONLY when you make a purchase
- Cloud Infrastructure: Stores all Service data (encrypted)
- Email Delivery Service: Receives your email address for transactional emails (account verification, password reset, etc.)
- Notification Service: Receives your email address or phone number ONLY if you enable notifications Important Statement: We do NOT:
- Sell your personal information to third parties
- Share your personal information with analytics providers
- Allow third-party services to use your data for their own marketing purposes
- Provide third parties with more data than necessary to perform their function Third-Party Terms: Your use of third-party services integrated with Tronic may be subject to the third party's own terms of service and privacy policies. We encourage you to review these policies. No Liability: We are not responsible for the actions, policies, or practices of third-party services. Any disputes with third-party services must be resolved directly with that service.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRONIC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of (or inability to access or use) the Service
- Any conduct or content of any third party on the Service
- Any content obtained from the Service
- Unauthorized access, use, or alteration of your transmissions or content IN NO EVENT SHALL TRONIC'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO TRONIC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
15. Indemnification
You agree to indemnify, defend, and hold harmless Tronic and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Your User Content
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.
17. Dispute Resolution and Arbitration
Informal Resolution: If you have a dispute with Tronic, you agree to first contact us at legal@tronic.app to attempt to resolve the dispute informally for at least 30 days. Binding Arbitration: If informal resolution fails, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration Terms:
- Arbitration will be conducted in Texas
- The arbitrator's decision will be final and binding
- You waive your right to a jury trial
- You waive your right to participate in a class action lawsuit Exceptions: Either party may seek equitable relief in court for intellectual property infringement or unauthorized access to the Service.
18. Class Action Waiver
YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN YOU AND TRONIC INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION.
19. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms on the Service
- Sending an email to the address associated with your account
- Displaying a prominent notice on the Service Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.
19A. Data Retention & Your Rights
Data Retention: Active Accounts:
- Your email address, profile data, and account information are retained while your account is active
- Transaction records are retained for 7 years to comply with tax and accounting regulations
- Analytics data (anonymous Tronic ID only) is retained for up to 2 years Deleted Accounts:
- Personal data is removed from active systems within 30 days of account deletion
- Backup systems are purged of your data within 60 days
- Analytics data is anonymized immediately upon deletion (Tronic ID is disassociated from your profile)
- Transaction records required for legal compliance are retained per legal requirements Legal Exceptions: We may retain data longer when required to:
- Comply with tax or accounting regulations (7 years)
- Respond to legal proceedings (subpoenas, court orders)
- Investigate or prevent fraud and abuse
- Enforce these Terms Your Privacy Rights: You have the following rights regarding your personal data: All Users:
- Right to Access: Request a copy of your data
- Right to Correction: Edit your profile information through account settings
- Right to Deletion: Request account deletion
- Right to Opt-Out: Opt out of analytics tracking through cookie preferences California Residents (CCPA/CPRA): In addition to the rights above, you have:
- Right to know what personal information we collect
- Right to know whether we sell or share personal information (we do not)
- Right to opt-out of the sale of personal information (we do not sell)
- Right to non-discrimination for exercising your rights Texas Residents (TDPSA): You have similar rights to California residents under the Texas Data Privacy and Security Act. European Residents (GDPR): If you are located in the European Economic Area (EEA), United Kingdom, or Switzerland, you have additional rights:
- Right to data portability (receive your data in a machine-readable format)

- Right to object to processing based on legitimate interests
- Right to withdraw consent at any time

- For access requests, we send you a JSON file with your data
- For deletion requests, we soft-delete your account and confirm via email
- For correction requests, we update your data and confirm Note on Third Parties: For data shared with third parties (such as brands via the dashboard), you may need to exercise your rights directly with those parties as they are independent data controllers.
20. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
21. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tronic regarding the Service and supersede any prior agreements.
